Change of Company Address

When changing the company address, the main factor is where you are moving from.

1. If the original address of the firm is located outside the original municipality (the change of address Prague-Pilsen), it is necessary to change the firm’s founding documents. In this case, it is necessary to visit a notary and make a decision on the level of the general meeting of shareholders (or an agreement of all business partners). The decision will have a form of a notarial record.
2. If you are changing your address within one municipality (Prague-Prague), it is usually possible to make the change without the need of a notarial record. In this case, a statutory body can make the decision (one or more company managers). Change of Address of the Company Step by Step

1) Take legal action that will result in the change of the address

• The decision by the shareholders’ meeting or by the agreement of all business partners is necessary when the change of the address is accompanied by the change of the founding document (the contents of the contract). Such a change requires a notarial record.
• The decision by the statutory body (one or more company managers) on the change of the seat of the company (without the change of the founding document) doesn’t require a notarial record.

2) File a proposal for the registration of the change with the Commercial Registry

After the approval of the decision to change the address (by the respective subject or another entity and in an appropriate form) the legal person is required to file a proposal for the registration of the change without further delay. The proposal is filed by a trade company acting through a statutory body to the respective registry court. The proposal must contain the full address of the new seat of the company.

The attachments of the proposal must include:

• Document proving that respective legal action was taken (a decision by business partners, shareholders‘ meeting record, a decision by a statutory body) in the appropriate form
• In case of the change two copies of the founding document or statutes in full version
• A document proving a legal reason for using the premises for the new address of the company (a land registry certificate not older than three months or a lease contract)
• A 2,000 CZK change of address fee for the court

3) After the change of the address is made at the Commercial Registry, you are required:

• To change the seat of the company at the Revenue Office
  • Within 15 days since the seat of the company was changed
  • The change of the address must be verified by a new trade license or a statement by the Commercial
• To change the seat of the company at the Trade Office
  • Within 15 days since the seat of the company was changed
  • It is necessary to fill in the change statement with the new address of the company and file it with the respective trade authority
• To change the address of the company at the health and social insurance company
  • Within 8 days since the seat of the company was changed (if it has employees)
  • It is necessary to report the new address at the respective authorities of social insurance and individual health insurance companies
• To change the address of the company at the land register
  • If the company owns a property
